General Information

Any invoice outstanding beyond a 30 day period will be referred to a third party debt collection agency and will be subject to a surcharge of 15% plus VAT to cover collection costs incurred. This surcharge together with all other charges and legal fees incurred will be the responsibility of the customer and will be legally enforceable. Once an online package has been verbally booked or booked in writing, a cancellation fee will be charged if subsequently cancelled. See section 14. It is your responsibility to carefully check your online package content especially with regard to spellings, contact details such as telephone numbers, addresses and e-mail or website addresses that have been entered by The Happy Bride Guide staff. No responsibility will be accepted for errors relating to data input by The Happy Bride
Guide. All material submitted for use on The Happy Bride Guide will be deemed to be free of copyright. You may not reproduce our artwork or images mechanically or electronically without prior permission of The Happy Bride Guide Ltd. Due to the large quantity of clients we have it is with regret that we cannot originate information for your The Happy Bride Guide online package.

3. Pricing

3.1 Any VAT charged where applicable will be at the standard UK rate.

4. Cancellation and Returns Policy

4.1 No refunds are available with regard to website advertising. Your advertising will run for the full agreed advertising term.

5. License

5.1 You are permitted to print and download extracts from this website for personal use on the following basis: * No text or graphics on this website are modified in any way * No graphics on this website are used separately from accompanying text * Any of our copyright and trade mark notices and this permission notice appear in all copies.

5.2 Unless otherwise stated, the copyright and other intellectual property rights in all material on this
website (including without limitation photographs and graphical images) are owned by us. For the purposes of these terms and conditions, any use of extracts from this website other than in accordance with clause 5.1 above for any purpose is prohibited. If you breach any of the terms in these terms and conditions, your permission to use this website automatically terminates and you must immediately destroy any downloaded or printed extracts from this website. In this eventuality no refund will be given.

Given the amount of images and material supplied it is impossible for us to contact individuals or businesses directly.

12. Governing Law and Jurisdiction

12.1 These terms and conditions shall be governed by and construed in accordance with English law. Disputes arising in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the English courts.

12.2 We do not warrant that materials/items for sale on the website are appropriate or available for use outside the United Kingdom. It is prohibited to access the website from territories where its contents are illegal or unlawful. If you access this website from locations outside the United Kingdom, you do so at your own risk and you are responsible for compliance with local laws.

12.3 If at any time you believe we have not adhered to our Terms & Conditions or Privacy Policy, you should, in the first instance, contact our data controller as detailed in our Privacy Policy.

13. Miscellaneous

13.1 You may not assign, sub-license or otherwise transfer any of your rights under these terms and conditions.

13.2 If any provision of these terms and conditions is found by any court of competent jurisdiction to be invalid, the invalidity of that provision will not affect the validity of the remaining provisions which shall continue to have full force and effect.

13.3 Only the parties to these terms and conditions may seek to enforce them under the Contracts (Rights of Third Parties) Act 1999.

13.4 In the event where your company goes into Liquidation or Administration, you are not permitted to use the data for any marketing purposes until the data has been paid for in full.

13.5 You are not permitted to say that you are an affiliate of The Happy Bride Guide or that you have been recommended by The Happy Bride Guide (unless The Happy Bride Guide have agreed to this in writing). The brides that we send to you have opted in to passing their details onto 3rd parties, but you are in no way allowed to suggest an association, or that you are an affiliate or a recommended business of The Happy Bride Guide. We reserve the right to terminate this agreement if this rule has been breached.

13.6 We provide you with raw information that has been directly supplied to us by our members. No refunds for leads are possible.

13.7 – Once you have signed this order form, you will become a ‘The Happy Bride Guide Online Subscriber’ until you choose to cancel (unless a minimum agreed term has been agreed).

13.8 If we feel that you are abusing the terms and conditions set out here in any way, we reserve the right to cancel this agreement.

13.9 – If you or your business pass on any bride’s details supplied by The Happy Bride Guide either intentionally or accidentally to ANY other business, friend, relative, associate or similar, we will invoice you again for the data concerned and you will be liable for the payment of both invoices for the same data.

13.10 – We allow you to email and send brochures (depending on which option you choose). If we receive complaints we will investigate this and reserve the right to cancel this agreement.

14. Minimum Agreed Term and Renewals

14.1 Advertising contracts on The Happy Bride Guide run for a minimum period of 12 months. You cannot cancel the subscription until this agreed minimum time has elapsed, as shown on the order form.If you do not contact us in writing informing us that you wish to cancel, your credit or debit card will be charged as agreed (in full) for the next 12 month period.

14.2 – Should you breach our payment policy (see section 16) this is deemed a breach of contract and will result in us issuing a invoice for the full outstanding contract term as stated in 14.1

15. Automatic Renewals

15.1 – If you have authorised The Happy Bride Guide to take automatic renewals of the agreed ‘Future Fee’ on an ongoing contract this payment can only be cancelled if you have requested and can quote your unique STOP CODE.

15.2 – You can request a stop code at any point after the ‘Start Date’ of the contract. This will ensure that we DO NOT take any future automatic payments.

15.3 – Under no circumstances will any refunds be available to you if you fail upon request to quote your unique stop code after the renewal date has elapsed.

16. Payment Terms

16.1 – Payment is STRICTLY 5 days from the date of invoice.

16.2 – Late Payment Act 1998 In the event that cheques have to be represented for payment to the
buyer’s Bank the seller reserves the right to pass on all associated bank charges. Further to that the seller reserves the right also to charge interest at a rate of 8% above prime overdraft rate on all payments outstanding over 30 days. If handed over for collection please be aware that all collection and legal costs will be charged to the debtor.

17. Advertising Response

17.1 We cannot guarantee results from any advertising campaign undertaken with The Happy Bride Guide, its publications or websites. No refunds are available for lack of response.

18. Errors

18.1 In the event of any marketing being published incorrectly, where The Happy Bride Guide admits fault, we will include marketing of equivalent size, free of charge. This gesture is accepted as full compensation for the error(s) with no refunds available.

Publication Terms & Conditions

a. The Advertiser shall supply The Happy Bride Guide within 14 days of first contact by the “Copy Department”. All wording, photographs and layout material to enable The Happy Bride Guide to produce a suitable advertisement. We advise all advertisers to supply materials immediately after point of sale.

b. The return of an amended proof will not automatically entitle the Advertiser to a further proof and, providing such amendments are carried out by The Happy Bride Guide, the proof will then be deemed correct.

c. Failure by the Advertiser to supply copy within 14 days of first contact by the “Copy Department” will entitle The Happy Bride Guide to submit a proof of advertisement showing a minimum of the Advertiser’s name and address.

d. If any proof is not returned within 14 days, approved or amended, it may be deemed correct by The Happy Bride Guide.

e. Where editorial copy is agreed, the Editor reserves the right to edit, copy or otherwise reuse the copy as they feel necessary in the publication and on-line. The Editor also reserves the right to choose, alter and reuse the image supplied for the publication front cover.

f. The Advertiser shall indemnify The Happy Bride Guide against all liabilities, damages and costs arising from any claim that the Advertisement is unlawful in nature or infringes the intellectual property rights of any third party.

g. The disposal, change of address or change of style or nature of the Advertiser’s business shall not invalidate their liability under this Agreement. If any monies due under this Agreement are not paid within 14 days of becoming due and payable then the entire amount secured by this Agreement will immediately become due and payable and enforceable by action. Both parties agree that this Agreement will be governed by the Law of England and Wales.

h. Interest may be charged at the rate of 0.7% per week on the amount outstanding (such interest to accrue from week to week) from the due date as indicated above until the date of payment.

i. Any letters or proceedings shall be deemed sufficiently served if sent to the address of the Advertiser stated in this Agreement unless an alternative address is notified in writing by the Advertiser to The Happy Bride Guide and acknowledged in writing.

j. Whilst The Happy Bride Guide will endeavor to satisfy any special position requests for the Advertiser’s advert (e.g. top right), this cannot be guaranteed. Failure to meet any such requests would not nullify the Agreement.
